"Licensee" (you) means the individual or legal entity that has purchased and received a valid License Key. LICENSE TIERS AND GRANT OF RIGHTS ============================================================================= Your rights are determined by the license tier associated with your purchased License Key: ----------------------------- TIER 1: SINGLE SITE LICENSE ----------------------------- License Key prefix: ABN-S- Purchase price: $97 You MAY: - Install and use the Software on ONE (1) domain or subdomain - Use the Software for personal or commercial End Products - Generate AI content and monetise it via advertising and affiliate links - Customise the templates, CSS, and configuration files - Receive 12 months of software updates from date of purchase - Receive 6 months of email support from date of purchase You MAY NOT: - Install or activate on more than 1 domain - Remove or alter copyright notices within the source code - Claim authorship of the Software itself - Resell, redistribute, sublicense, or transfer this license - Use on client websites (client use requires Agency license) ----------------------------- TIER 2: AGENCY LICENSE ----------------------------- License Key prefix: ABN-A- Purchase price: $297 You MAY: - Install and use the Software on UNLIMITED domains you own or manage - Use the Software for your own websites AND for client websites - Remove the "Powered by Adbell Blog Network" footer attribution - White-label the admin panel with your own agency branding - Generate AI content and monetise across all installations - Customise, extend, and modify templates and code - Receive 12 months of software updates from date of purchase - Receive 12 months of priority email support from date of purchase You MAY NOT: - Resell, redistribute, or make the Software itself available for download - Package the Software as part of another product for sale - Transfer this license to a third party - Grant sub-licenses to clients (each client site is covered by your Agency license) ----------------------------- TIER 3: DEVELOPER LICENSE ----------------------------- License Key prefix: ABN-D- Purchase price: $497 You MAY: - Do everything permitted under the Agency License - Build derivative products for your clients using the Software as a base - Charge clients for custom development work built on top of the Software - Remove all Adbell branding and present as your own solution to clients - Receive 12 months of software updates from date of purchase - Receive 12 months of priority support + 2 one-hour technical consultations You MAY NOT: - Resell, redistribute, re-package, or re-sell the Software script itself - Create a competing product that is substantially the same as this Software and sell it (whether free or paid) - Provide the raw Software ZIP file to clients or any third party - Grant clients rights to redistribute the Software ============================================================================= 3. RESTRICTIONS APPLICABLE TO ALL LICENSE TIERS ============================================================================= The following restrictions apply regardless of your license tier: 3.1 NO REDISTRIBUTION. You may not sell, transfer, sublicense, rent, lease, or otherwise make the Software available to any third party. This includes posting it on file sharing sites, code repositories (public GitHub, GitLab, etc.), or marketplaces. 3.2 NO RESALE OF THE SCRIPT. You may not resell this Software as a script product, whether under the Adbell name or any other name. 3.3 LICENSE KEY. Your License Key is personal and non-transferable. You may not share your License Key with any third party. 3.4 THIRD-PARTY SERVICES. The Software integrates with third-party services (Anthropic Claude API, Pexels, Brevo, Mailchimp, Google Ad Manager, etc.). You are responsible for obtaining your own API keys, agreeing to those services' terms of use, and any costs incurred. 3.5 REVERSE ENGINEERING. You may not reverse-engineer, decompile, or disassemble any obfuscated portions of the Software. 3.6 ATTRIBUTION (Single License). If you use the Single Site License, you must retain the "Powered by Adbell Blog Network" footer link. Agency and Developer licensees may remove this attribution. ============================================================================= 4. INTELLECTUAL PROPERTY ============================================================================= 4.1 The Software, including all source code, design, and documentation, remains the intellectual property of Adbell Media. 4.2 This license grants you the right to USE the Software, not to own it. 4.3 Any modifications you make to the code are owned by you, but the underlying Software remains owned by Adbell Media. 4.4 AI-generated content produced by running the Software is owned by you, the Licensee, subject to the terms of Anthropic's usage policies. ============================================================================= 5. UPDATES AND SUPPORT ============================================================================= 5.1 Updates are provided for the period specified in your license tier. Updates include bug fixes, security patches, and new features. 5.2 Support is provided via email at support@adbellmedia.com within the support period of your tier. 5.3 Support does not include custom development, troubleshooting your server environment, or issues caused by third-party modifications. 5.4 After the support/update period expires, the Software continues to function. You may purchase a renewal for continued updates and support. ============================================================================= 6. WARRANTY DISCLAIMER ============================================================================= THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. ADBELL MEDIA DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT IT WILL MEET YOUR REQUIREMENTS. YOU ASSUME ALL RESPONSIBILITY FOR SELECTING THE SOFTWARE TO ACHIEVE YOUR INTENDED RESULTS AND FOR THE INSTALLATION, USE, AND RESULTS OBTAINED FROM THE SOFTWARE. ============================================================================= 7. LIMITATION OF LIABILITY ============================================================================= IN NO EVENT SHALL ADBELL MEDIA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF DATA, LOSS OF REVENUE, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS INFORMATION) ARISING OUT OF THE USE OR INABILITY TO USE THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE TOTAL CUMULATIVE LIABILITY OF ADBELL MEDIA ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE. ============================================================================= 8. DATA PROTECTION AND GDPR ============================================================================= 8.1 The Software collects email addresses via lead capture forms. You are responsible for obtaining appropriate consent from your website visitors in accordance with applicable data protection laws (GDPR, CCPA, etc.). 8.2 You are responsible for your Privacy Policy, Cookie Policy, and compliance with data protection regulations for your End Products. 8.3 Adbell Media does not receive, store, or process any personal data collected by your installation of the Software. 8.4 The License Server (license.adbellmedia.com) records your domain and IP address for license validation purposes only. This data is not sold or shared with third parties. ============================================================================= 9. TERMINATION ============================================================================= 9.1 This license is effective until terminated. 9.2 Adbell Media may terminate this license immediately if you breach any term of this Agreement. Upon termination, you must cease all use and delete all copies of the Software. 9.3 Sections 3, 4, 6, 7, and 8 survive termination. ============================================================================= 10. GOVERNING LAW ============================================================================= This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of India. ============================================================================= 11. ENTIRE AGREEMENT ============================================================================= This Agreement constitutes the entire agreement between you and Adbell Media regarding the Software and supersedes all prior understandings or agreements.
